1. About us
Bajrang Bali Ventures Pty Ltd (ABN 91 703 357 626) is an Australian proprietary limited company providing professional business and consulting services. Our registered place of business is Melbourne VIC, Australia, and our website is bajrangbaliventures.online.
References to “you” or “your” are to any individual or organisation that engages our services or uses our website, including your employees, agents and contractors where relevant.
2. Our services
We provide professional business and consulting services, which may include business advisory, planning, research, analysis, operational support and related consulting work. The specific scope, deliverables, timeline and fees applicable to your engagement will be set out in a written quote, proposal or engagement document agreed between you and us (“Engagement Document”).
Information on this website is general in nature and does not constitute financial, legal, taxation or other professional advice. You should obtain independent professional advice appropriate to your circumstances before acting on any information we provide.
3. Quotes, proposals and engagement
- Quotes and proposals are valid for 30 days from the date of issue unless otherwise stated.
- A binding engagement arises only when you accept a written quote or proposal and, where required, pay any deposit or sign an Engagement Document.
- Each engagement is governed by these Terms together with the applicable Engagement Document. If there is any inconsistency, the Engagement Document prevails to the extent of the inconsistency.
- We may decline or discontinue an engagement at our discretion, for example where a conflict of interest arises or where the work falls outside our scope of competence.
4. Fees, invoicing and payment
- Fees are as stated in the applicable Engagement Document and are expressed in Australian dollars (AUD) unless stated otherwise. GST may be payable and will be shown separately on invoices where applicable.
- Invoices are payable within the period stated on the invoice (generally 14 days from the date of issue).
- We may charge late payment interest on overdue amounts at a reasonable rate, and may suspend services until overdue amounts are paid.
- Disbursements and third-party costs reasonably incurred in delivering services may be passed on to you at cost or as itemised in the Engagement Document.
- If you dispute an invoice, you must notify us in writing within 14 days of the invoice date, setting out the reasons for the dispute. You must pay any undisputed amounts by the due date.
5. Changes, cancellations and refunds
- You may request changes to the scope of an engagement. We will advise you of any impact on fees or timelines before proceeding. Variations must be confirmed in writing.
- If you cancel an engagement, you remain liable for fees for work performed up to the date of cancellation and for any non-cancellable commitments we have made on your behalf.
- Where we cancel an engagement other than for your breach, we will refund any fees paid for services not yet rendered.
- Refunds, where due, will be processed within a reasonable time using the original payment method where practicable.
6. Your responsibilities
To enable us to deliver services effectively, you agree to:
- provide accurate, complete and timely information, records and access reasonably required for the engagement;
- ensure information you provide does not infringe the rights of any third party and complies with applicable Australian laws;
- nominate a suitable contact person authorised to make decisions and provide approvals;
- respond to our requests within reasonable timeframes, noting that delays caused by you may affect timelines and fees; and
- comply with all laws applicable to your business and your use of our services.
We are not responsible for delays or defects arising from information, materials or decisions you supply, or from circumstances outside our reasonable control.
7. Intellectual property
- Upon full payment of all fees for an engagement, you own the final deliverables specifically prepared for you, excluding our pre-existing materials, templates, methodologies, tools and know-how (“Our Materials”).
- We retain all ownership of Our Materials. Where Our Materials are incorporated into deliverables, we grant you a perpetual, non-exclusive, royalty-free licence to use them as part of those deliverables for your internal business purposes.
- All content on this website, including text, graphics and layout, is owned by or licensed to us and is protected by Australian and international copyright laws. You may not reproduce or redistribute website content without our prior written consent.
- You grant us a limited licence to use materials you provide solely for the purpose of delivering services to you.
8. Confidentiality
Each party must keep confidential all non-public information disclosed by the other party in connection with an engagement, and use it only for the purposes of the engagement. This obligation does not apply to information that is or becomes public through no breach, was already known lawfully, is independently developed, or must be disclosed by law or by a regulator or court. This clause survives termination of an engagement.
9. Consumer guarantees under Australian law
Nothing in these Terms excludes, restricts or modifies any consumer guarantees, rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.
Our services come with guarantees under the Australian Consumer Law that cannot be excluded. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied or resupplied if the services fail to be of acceptable quality and the failure does not amount to a major failure.
To the extent permitted by law, our liability for a failure to comply with a consumer guarantee that cannot be excluded is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.
10. Limitation of liability
To the fullest extent permitted by law (and subject always to clause 9):
- we are not liable for indirect, incidental, special or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, or loss of business opportunity, however caused;
- our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for the specific services giving rise to the claim; and
- any statutory warranties or conditions that can lawfully be excluded are excluded, except for those that apply under the Australian Consumer Law as described in clause 9.
This clause applies regardless of the form of action, whether in contract, tort (including negligence), statute or otherwise.
11. Suspension and termination
Either party may terminate an engagement with written notice if the other party commits a material breach and fails to remedy it within 14 days of receiving written notice of the breach. Either party may also terminate an engagement immediately if the other party becomes insolvent, enters liquidation or administration, or has an administrator or receiver appointed.
On termination: (a) you must pay all fees for services performed up to the effective date of termination; (b) each party must return or destroy the other party’s confidential information on request; and (c) clauses which by their nature are intended to survive (including intellectual property, confidentiality, consumer law, liability and governing law) survive termination.
12. Third-party tools and links
Our website and deliverables may reference or rely on third-party software, platforms, data sources or websites. We do not control third-party services and are not responsible for their availability, content or practices. Links to third-party websites are provided for convenience only and do not constitute endorsement. Your use of third-party services is at your own risk and may be governed by the third party’s own terms.
13. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy, which forms part of these Terms. By engaging our services or using this website, you consent to the collection, use and disclosure of your information as described in the Privacy Policy.
14. General provisions
- Entire agreement: These Terms and the applicable Engagement Document constitute the entire agreement between the parties regarding their subject matter and supersede all prior discussions, representations and understandings.
- Assignment: You may not assign or transfer your rights or obligations without our prior written consent. We may assign our rights with reasonable notice to you.
- Severability: If any provision of these Terms is held invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions will continue in full force.
- Waiver: A failure or delay by a party to exercise a right is not a waiver of that right. A waiver must be in writing to be effective.
- Force majeure: Neither party is liable for delays or failures to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, pandemics, industrial action, government restrictions or failures of third-party infrastructure.
- Governing law: These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
- Relationship: Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between the parties.
15. Amendments to these Terms
We may update these Terms from time to time. The current version will always be published on this page with a revised “last updated” date. Material changes affecting an existing engagement will be communicated to you before they take effect. Continued use of our website or services after an update constitutes acceptance of the amended Terms.
